1. Acceptance of Terms

Welcome to PetsClik. By accessing or using the PetsClik platform — including our website, mobile applications, and any related services (collectively, the "Services") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and PetsClik, Inc. ("PetsClik," "we," "us," or "our"). Your continued use of the Services following any updates to these Terms constitutes your acceptance of those changes.

2. Description of Services

PetsClik is a social platform and marketplace designed for pet owners, pet lovers, and pet service providers. The Services include, but are not limited to:

• A social feed for sharing pet photos, stories, and updates;
• Community channels and groups organised by pet type, breed, or interest;
• A marketplace for buying and selling pet-related products and accessories;
• A directory and booking platform for pet service providers (vets, groomers, trainers, sitters);
• AI-powered pet care assistance ("PawsAI");
• Contests, events, and community challenges;
• Subscription and advertising products for businesses and service providers.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. Eligibility

You must be at least 13 years of age to use the Services. If you are under 18, you represent that you have obtained your parent's or legal guardian's consent to use the Services and that they have read and agreed to these Terms on your behalf. By using the Services, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate, current, and complete.

The Services are intended for use within jurisdictions where they are lawfully available. You are responsible for ensuring your use of the Services complies with all applicable local, national, and international laws and regulations.

4. User Accounts

To access most features of the Services, you must create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account information current. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised access to or use of your account. PetsClik will not be liable for any loss or damage arising from your failure to comply with this obligation.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent or harmful purposes.

5. User Conduct and Content

You are responsible for all content you post, upload, transmit, or otherwise make available through the Services ("User Content"). By submitting User Content, you grant PetsClik a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and PetsClik's business operations.

You represent and warrant that your User Content does not violate any third-party rights and that you have all necessary rights to grant the licence above. You agree not to post content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene;
• Depicts animal cruelty, abuse, or neglect;
• Infringes any intellectual property, privacy, or other rights of a third party;
• Contains spam, unsolicited advertising, or misleading information;
• Impersonates any person or entity or misrepresents your affiliation with any person or entity;
• Contains malware, viruses, or any other harmful code;
• Violates any applicable law or regulation.

PetsClik reserves the right, but not the obligation, to monitor, edit, or remove any User Content that violates these Terms or that we find objectionable, without prior notice.

6. Marketplace and Transactions

PetsClik provides a marketplace that enables users to buy and sell pet-related products. PetsClik acts solely as a platform facilitating transactions between buyers and sellers and is not a party to any transaction unless expressly stated otherwise.

Sellers are solely responsible for the accuracy of their listings, the quality and legality of their products, and the fulfilment of orders. Buyers are responsible for reviewing listings carefully before making a purchase. All sales are subject to the seller's stated return and refund policy. PetsClik does not guarantee the quality, safety, or legality of any item listed on the marketplace.

Payment processing is facilitated by Stripe. By making or receiving payments through the Services, you agree to Stripe's Terms of Service and Privacy Policy. PetsClik is not responsible for payment processing errors, chargebacks, or disputes between buyers and sellers.

7. Pet Services Bookings

PetsClik enables users to discover and book pet service providers, including veterinarians, groomers, trainers, and pet sitters. PetsClik does not employ, endorse, or guarantee the qualifications, licences, or conduct of any service provider listed on the platform. You are solely responsible for verifying the credentials and suitability of any service provider before engaging their services.

Service providers are independent contractors and not employees or agents of PetsClik. PetsClik shall not be liable for any injury, loss, or damage to you, your pet, or your property arising from services provided by any third-party service provider.

8. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are the exclusive property of PetsClik or its licensors and are protected by applicable copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Services or its content without our prior written permission.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and share information about you. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PETSCLIK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PETSCLIK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PETSCLIK IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) USD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless PetsClik and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your User Content, your use of the Services, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be subject to informal negotiation for a period of thirty (30) days. If the dispute is not resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and PetsClik individually. To the fullest extent permitted by law, you waive the right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through a notice on the Services. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
